TAL International Group shareholders to vote on merger with Triton Container International

and TritonContainer International Ltd. announced that the SEC has declared Triton InternationalLtd.'s registration statement on Form S-4 effective.

The registrationstatement is related to Triton Container International's proposed mergerwith TAL. The transactionis expected to close on or about June 16, subject to approval by TAL shareholdersat their special meeting June 14.

TAL's boardrecommends that its shareholders vote for the proposal to adopt the transactionagreement and for each of the other proposals to be voted on at the special meeting.

All TAL shareholdersof record as of April 25 will be entitled to vote at the special meeting.
