S&P Global to Merge with IHS Markit,

Powering Markets of the Future

S&P Global has entered into a definitive agreement to combine with IHS Markit. S&P Global is the parent company of S&P Global Platts.

This transaction will allow us to better serve our customers across the commodities, resources, and energy sector by combining two world-class teams and two complementary and differentiated content bases.

For us, this combination is focused on delivering more value to our customers, including by:

— accelerating investments in technology to enhance further our delivery of our digital content to our customers;

— developing new solutions and analytics leveraging the best from both companies;

— linking and deriving insights from the exciting and different data across the two organizations; and

— streamlining our processes and simplifying access to our unique content sets and benchmarks for broader audiences.

The combined company will bring to you the leading set of assets across ESG, providing our clients with the Essential Intelligence to navigate their journey through the Energy Transition. These assets range from price assessments for Recycled Plastics, Battery Metals, Hydrogen, and Renewables, to our long-term 30-year forecasting outlooks, through to S&P's Green Bond Ratings, ESG Evaluations, ESG Scores, and the S&P Dow Jones Sustainable Index and S&P 500 ESG.

For now, it's business as usual – you can expect to experience the same exceptional service you have come to expect from both companies.

We do not anticipate any changes to our services or your current customer contacts, and you will continue to work with the same team members as you have in the past. If there are any changes in the future, we will communicate with you well in advance. The transaction is subject to customary closing conditions and we expect completion to occur in the second half of 2021. Until then, S&P Global Platts and IHS Markit will continue to operate independently.

If you have any questions, please do not hesitate to reach out to your account manager or client service. Once again, we greatly appreciate your partnership as we begin our next chapter.

I look forward to speaking with you soon.

Sincerely,

Martin Fraenkel
President,
S&P Global Platts
