Regal Entertainment Group's shareholders on Feb. 2 adopted the merger agreement under which Cineworld Group plc is buying Regal for $5.9 billion, including debt and net of cash, according to an SEC filing.
The "go-shop" period for Regal Entertainment Group recently expired. In January, the U.S. Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 in connection with the deal.
The deal, which has been unanimously approved by both companies' boards, is expected to close in the first quarter.
