Alliance Resource Partners, general partner complete merger

Alliance Resource Partners LP and Alliance Holdings GP LP have completed their planned merger through a series of transactions.

Alliance Holdings is now a wholly owned subsidiary of Alliance Resource. All of the Alliance Resource common units it held were distributed to its unitholders in exchange for their common units. Each Alliance Holdings common unitholder as of May 31 will receive approximately 1.478 Alliance Resource common units in exchange for each Alliance Holdings common unit.

Alliance Resource also issued 1,322,388 common units in exchange for a 1.0001% general partner interest in Alliance Resource Operating Partners LP and a 0.001% managing membership interest in Alliance Coal LLC.

The simplification transactions resulted in a single publicly traded entity; all of the outstanding Alliance Holdings common units were canceled and ceased to be publicly traded on the Nasdaq Global Select Market.

Concurrently, the board of directors of Alliance Resource's general partner approved the establishment of a unit repurchase program authorizing the limited partnership to repurchase up to $100 million of its outstanding limited partner common units.
