Meredith closes Time Inc. deal; SAP unit to buy software firm

S&P Global Market Intelligence provides a wrap-up of U.S. companies' media and communications deal announcements and completions from Jan. 29 to Feb. 2.

* TDS Telecom unit TDS Metrocom LLC closed the acquisition of the communications network and business operations of Merrimac Communications Ltd. in Merrimac, Wis. Merrimac Communications provides cable television, internet, and phone service to residents and businesses in parts of Sauk, Columbia, and Dane counties in Wisconsin. TDS Telecom is owned by Telephone and Data Systems Inc.

* RhythmOne plc closed the acquisition of YuMe Inc. following the completion of the exchange offer to acquire YuMe shares. The exchange offer for all outstanding shares of YuMe common stock was made through a wholly owned subsidiary of RhythmOne in exchange for $1.70 in cash without interest and 0.7325 ordinary share of RhythmOne for each share of YuMe common stock, according to a Feb. 2 news release.

* U.S. technology and networking multinational Cisco Systems Inc. closed the acquisition of cloud calling and contact center services provider BroadSoft Inc. Cisco is paying $55 per share, in cash, in exchange for each share of BroadSoft common stock, for a purchase price of about $1.9 billion net of cash and investment, assuming fully diluted shares including conversion of debt.

* Motorola Solutions Inc. agreed to acquire video surveillance maker Avigilon Corp. to boost Motorola Solutions' range of communications technologies. Under the agreement, Motorola Solutions will acquire all of Avigilon's outstanding shares for C$27.00 per share for an enterprise value of about US$1.0 billion, including Avigilon's net debt.

* Lee Enterprises Inc. sold its newspaper and digital media operations in Maysville, Ky., to Champion Media LLC. The transaction includes The Ledger Independent and maysville-online.com.

* DISH Network Corp. purchased Parkifi, a company that builds and sells patent-pending internet of things-enabled parking sensors with cloud-based analytics. Denver-based Parkifi will continue to serve customers and grow its base across the U.S. as part of DISH, the company said Feb. 1. Financial terms of the deal were not disclosed.

* Monster Worldwide Inc. agreed to sell its Asia-Pacific business to increase focus on its North America and Europe businesses. The company said Jan. 31 that it is selling its business in India, Southeast Asia and the Middle East to Quess Corp Ltd., an integrated business services provider in India.

* Red Hat Inc. has signed a definitive agreement to acquire CoreOS Inc. for $250 million. The move will further expand Red Hat's Kubernetes and container-based portfolio as the company aims to accelerate its adoption of a hybrid cloud platform for modern application workloads, the buyer said in a Jan. 30 statement.

* Meredith Corp. closed the acquisition of Time Inc. in an all-cash transaction valued at $2.8 billion.

* RELX Group plc, which provides information and analytics for professional and business customers across industries, agreed to acquire San Jose, Calif.-based ThreatMetrix for £580 million in cash. ThreatMetrix, which operates in the risk-based authentication sector, will become part of RELX's Risk & Business Analytics, which under the LexisNexis Risk Solutions brand addresses fraud and authentication challenges.

* Emmis Communications Corp. reached agreements in principle to sell its St. Louis stations KSHE and The Point to Hubbard Radio, and St. Louis stations KFTK and NOW to Entercom Communications Corp.

* Alphabet Inc. unit Google Inc. closed its deal to buy part of HTC Corp.'s smartphone business. According to a Jan. 30 official blog post, the deal allows Google to expand its footprint in the Asia-Pacific region, with Taipei becoming the largest Google engineering site in the region.

* Microsoft Corp. acquired gaming services startup PlayFab. According to a Jan. 29 official blog post, the startup will be integrated into Microsoft's Azure gaming group. PlayFab powers more than 1,200 live games and has served more than 700 million players.

* SAP America, Inc., a unit of SAP SE, said Jan. 29 that it agreed to acquire Callidus Software Inc. for a per-share price of $36.00, translating into an enterprise value of approximately $2.4 billion. SAP will fund the transaction with existing cash balances and an acquisition term loan.

* Internap Corp. agreed to buy SingleHop LLC, a private company headquartered in Chicago, for $132 million in cash. The cash deal reflects a purchase multiple of about 7x after synergies, based on annualized adjusted EBITDA of about $16 million for the third quarter and expected annualized cost synergies of $2 million to $3 million, the company said Jan. 29.

* Zayo Group Holdings Inc. agreed to buy substantially all of the assets of Neutral Path Communications LLC and Near North Partners for $31.5 million. The transaction is expected to close in the second calendar quarter, subject to regulatory approvals and customary closing conditions.
