Kroger to sell digital coupon unit to tech company Inmar

The Kroger Co. said Dec. 18 that it will sell You Technology Brand Services Inc., its digital coupon and digital rebate publishing unit, to North Carolina-based information technology firm Inmar Inc.

Financial terms were not disclosed.

The deal is part of a new strategic partnership between the U.S. grocer and Inmar, according to the release. Under the agreement, Inmar will continue to provide digital offer management services to Kroger.

The Ohio-based company said the combination of You Technology and Inmar will expand coupon and rebate distribution for consumer packaged goods, which it said will help other retailers meet evolving consumer expectations.

It added that the move is in line with its Restock Kroger program, which aims to boost digital and e-commerce initiatives.

Kroger bought You Technology in 2014. The unit's cloud-based platform enables digital offers for redemption at Kroger and other U.S. retailers.

The companies expect to close the deal in Kroger's first quarter of 2019, subject to customary closing conditions, including the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976.
