Brookfield deal for Oaktree Capital Group carries $225M termination fee

Oaktree Capital Group LLC will be required to pay a termination fee of $225 million to Brookfield Asset Management Inc. if Brookfield's agreement to acquire 62% of Oaktree Capital falls through under certain circumstances.

Under the terms of the deal, Brookfield will acquire Oaktree Capital's class A units for $49.00 in cash or 1.0770 Brookfield shares apiece.

The founders, senior management and employee unit holders of Oaktree Capital Group Holdings GP LLC, which holds all of Oaktree Capital's outstanding class B units and has a direct interest in the firm's operating entities, will sell 20% of their holdings to Brookfield at the same price.
