ChineseInvestors.com seeking to increase authorized common, preferred shares

ChineseInvestors.com Inc. is seeking shareholder approval of an amendment to its certificate of incorporation to increase the total number of authorized common shares to 700 million from 80 million and authorized preferred shares to 300 million from 20 million.

The company also asked shareholders to give nonbinding approval of executive compensation in an advisory vote. Stockholders were also asked to vote for the annual option as to the frequency of the advisory vote on executive compensation. This vote, like the say-on-pay vote itself, is nonbinding.

The company's annual meeting of shareholders will be held Nov. 16.
