Plaintiffs agree to dismiss deal-related suits against TCF Financial

Purported shareholders of TCF Financial Corp. have agreed to dismiss five separate putative class-action lawsuits and individual lawsuits against the company and its board related to TCF's pending merger of equals with Chemical Financial Corp.

The plaintiffs alleged, among other things, that TCF and its directors misstated or failed to disclose certain allegedly material information in the definitive joint proxy statement/prospectus filed with the Securities and Exchange Commission in connection with the deal.

However, they agreed to dismiss their respective complaints after TCF voluntarily provided additional disclosures related to the transaction, the company said in a regulatory filing.
