DXC Technology asks shareholders to reject TRC Capital's mini-tender offer

DXC Technology Co. advised shareholders not to accept TRC Capital Corp.'s mini-tender offer to purchase up to 2 million common shares of the company at $63.63 apiece.

The offering price is 4.56% below DXC Technology's closing price on Feb. 22, the last trading day before the mini-tender offer started.

DXC Technology said mini-tender offers are not covered by investor protection regulations mandated by the Securities and Exchange Commission. The company also noted that the SEC has cautioned investors that some companies making mini-tender offers at below-market prices hope to catch investors off guard.
