Cable One completes Fidelity Communications acquisition; Apple buys IKinema

S&P Global Market Intelligence provides a wrap-up of U.S. companies' technology, media and telecommunications deal announcements, completions and updates from Sept. 25 to Oct. 7.

Announcements

* RingCentral Inc. is partnering with Avaya Holdings Corp. to introduce new global unified communication as a service solution called "Avaya Cloud Office by RingCentral." RingCentral will also purchase $125 million aggregate principal amount of 3% convertible and redeemable preferred stock, acquiring about a 6% position in Avaya on an as-converted basis. This will be funded with existing cash on the balance sheet.

* Accenture PLC agreed to buy product innovation and engineering company Nytec Inc. for an undisclosed sum. Upon closing of the transaction, which is subject to customary closing conditions, Nytec will become part of Accenture Industry X.0, Accenture's digital industry services division.

* Verisk Analytics Inc., which provides data analytics to customers in insurance, energy and specialized markets, is buying BuildFax Inc., a provider of property condition and history data. Financial terms of the transaction were not disclosed. Upon completion, BuildFax will become part of ISO, a Verisk business that provides tools and analytics for the property/casualty insurance industry.

* Oracle Corp. agreed to acquire CrowdTwist Inc., an omnichannel loyalty marketing and data solutions provider. The CrowdTwist team is expected to join the Oracle Customer Experience Cloud organization upon the completion of the deal, financial terms of which were not disclosed.

* Entertainment Studios Inc. agreed to buy 11 broadcast television stations from USA Television Holdings LLC and USA Television MidAmerica Holdings LLC for $290 million.

Completions

* Cloud-based enterprise work management software provider Upland Software Inc. acquired Altify, a customer revenue optimization cloud service for sales and the extended revenue teams, for $84.0 million in cash. Altify will be a core platform of Upland's sales optimization solution suite. In connection with this acquisition, $59 million was drawn on Upland's revolving credit facility, taking the company's gross debt outstanding to $409 million. Upland also bought InGenius, a computer telephony integration platform provider. The purchase price paid for InGenius was $26.4 million in cash at closing, and a $3.0 million cash holdback payable in 12 months. With the transaction, Upland said it can now offer a Contact Center Productivity service suite which provides a single pane of glass for all voice and CRM data.

* Apple Inc. purchased IKinema Ltd., a U.K.-based developer of animation technology solutions for the gaming and related industries, for an undisclosed amount. IKinema changed its address to the same one used by the iPhone-maker's unit Apple (UK) Ltd.

* Synopsys Inc. completed the acquisition of German automotive software developer QTronic GmbH for an undisclosed sum. The deal is expected to boost Synopsys' portfolio of automotive virtual prototyping solutions. Synopsys does not expect the deal to be material to its financials.

* Glowpoint Inc. completed its merger with collaboration technology company Oblong Industries Inc. In connection with the merger, Glowpoint closed the first tranche of its previously announced issuance of series E convertible preferred stock for about $2.5 million in gross proceeds. Investors in the series E financing have committed to purchase an additional $1.25 million of Glowpoint's series E convertible preferred stock, upon demand by Glowpoint. Assuming consummation of the second tranche of the series E financing, Glowpoint will have about 23.9 million shares of common stock outstanding, pro forma for the conversion of the series D preferred stock issued in the merger and conversion of the series E preferred stock.

* Ntiva Inc., which manages IT, cloud and cybersecurity services, purchased managed IT services provider 3Points LLC for an undisclosed sum. The acquisition is Ntiva's fifth.

* Private equity firm Bain Capital Private Equity LP acquired Cheetah Digital Inc.'s email service provider business in Japan for an undisclosed amount. The transaction will allow Bain Capital to support the further growth of Cheetah Digital's email service MailPublisher, including through expanding the platform's new functions. Cheetah Digital is a provider of marketing solutions.

* Financial technology firm Broadridge Financial Solutions Inc. bought Shadow Financial Systems Inc., a provider of post-trade solutions for capital markets. The terms of the deal were not disclosed.

* Cable One Inc. completed the purchase of Fidelity Communications Co.'s data, video and voice business and certain related assets for about $525.9 million. The purchase price was financed with cash on hand and the net proceeds from $450 million of delayed draw term A loans. Fidelity provides connectivity services to residential and business customers throughout greater Arkansas, Illinois, Louisiana, Missouri, Oklahoma and Texas.

* Information technology services company Infogain Corp. acquired Silicus Technologies LLC, a Microsoft Corp. partner company, for an undisclosed sum. Silicus is an enterprise-focused cloud services company.

* IAC/InterActiveCorp.'s operating business Dotdash purchased Liquor.com Inc., a digital media company with a focus on cocktails, spirits, entertaining and culture, for an undisclosed sum. Dotdash said Liquor.com will align with its other food and lifestyle digital media brands, including The Spruce and MyDomaine.

* DTN, which provides insights, analysis and decision-support services, acquired Australian private weather service Weatherzone from Nine Entertainment Co. Holdings Ltd. The transaction, terms of which were not disclosed, is expected to support DTN's commitment and growth strategy of providing weather insights to customers.

* Verizon Communications Inc. acquired augmented reality startup Jaunt XR's software, technology and certain other assets for an undisclosed amount. Jaunt enables the scaled creation and distribution of volumetric video through machine learning.

* Private equity funds managed by Blackstone Group Inc. completed the purchase of mobile performance marketing platform Vungle Inc. for an undisclosed sum. Vungle provides a marketing platform for in-application video advertisements on mobile devices.
