Kyushu Electric subsidiary to acquire stake in large Pa. gas-fired plant

A subsidiary of Japanese utility Kyushu Electric Power Co. Inc. is planning to acquire a 25% interest in the owner of the 940-MW Tenaska Westmoreland Generating Station in Pennsylvania.

Under the proposed transaction, Kyuden International Westmoreland will purchase a 25% stake in DGC Westmoreland LLC from Diamond Generating LLC.

DGC Westmoreland currently owns a 50% interest in Tenaska Pennsylvania Partners LLC, which owns the 940-MW combined-cycle facility in South Huntingdon Township, in Pennsylvania's Westmoreland County. The plant began operating late last year.

The remaining direct and indirect ownership of Tenaska Pennsylvania will not change, according to an application filed Oct. 4 with the Federal Energy Regulatory Commission.

Tenaska Pennsylvania Partners is comprised of affiliates of Tenaska Energy Inc., Diamond Generating Corp. and J-POWER USA Investment Co. Ltd.

Diamond Generating LLC is a wholly owned direct subsidiary of Diamond Generating Corp., which is turn is a subsidiary of Tokyo-based Mitsubishi Corp.

J-POWER USA Investment is a unit of another Japan-headquartered company, Electric Power Development Co. Ltd.

FERC was requested to approve the deal by Nov. 18. (FERC docket EC20-6)
