Ventas Inc. made an additional investment in senior housing operator and tenant Atria Senior Living Inc. as part of a series of transactions the company undertook to raise growth capital, which included bringing in private equity firm Fremont Realty Capital.
Atria management sold 50% of their ownership in the company's management business to Fremont Realty, a unit of the Fremont Group. Ventas noted that the capital raise values Atria at a "substantial increase" to the price Ventas paid for the 34% stake it acquired in 2012.
Ventas made an additional investment to keep its ownership stake in Atria at 34%. Atria executives and Fremont will each hold 33% stakes in Atria. The proceeds from the capital raise were principally reinvested in Atria.
Ventas acquired Atria's real estate for $3.1 billion in 2011.
