Comcast acquires Dutch app developer; CenturyLink buys Streamroot

S&P Global Market Intelligence provides a wrap-up of U.S. companies' technology, media and telecommunications deal announcements, completions and updates from Sept. 10 to Sept. 16.

Announcements

* SITO Mobile Ltd. inked an agreement to acquire 100% of the equity interests of MediaJel Inc., a provider of advertising and marketing solutions for the cannabis industry. Under the terms of the deal, MediaJel stockholders will exchange 100% of their shares of capital stock for newly issued shares of common stock of SITO and MediaJel will become a wholly owned subsidiary of SITO. Completion of the transaction is expected in the fourth quarter of 2019 or first quarter of 2020, subject to approval by the stockholders of MediaJel and SITO and other customary closing conditions.

* Glowpoint Inc. struck a deal to merge with collaboration technology company Oblong Industries Inc. The merger is expected to close by Oct. 15. In exchange for all outstanding equity in Oblong, Oblong stockholders will receive Glowpoint's series D convertible preferred stock.

* Semiconductor provider Rambus Inc. agreed to buy the Silicon intellectual property and secure protocols business of Verimatrix Société anonyme, formerly Inside Secure, for $65 million in cash. The acquisition is expected to close this year.

* Growth equity fund Full In Venture Partners, also known as Full In Partners, agreed to purchase a "significant interest" in ServiceCore, which provides business management software for the liquid waste and roll-off rental market. ServiceCore's software helps companies manage their schedules, routes, customers and inventory.

* Shopify Inc., which provides a multi-channel commerce platform, agreed to buy 6 River Systems Inc. in a cash-and-stock transaction valued at about $450 million. The transaction consists of approximately 60% in cash and 40% in Shopify class A subordinate voting shares. Included in this amount are Shopify class A shares and options valued at about $69 million that will be issued to 6 River Systems' founders and employees that will vest subject to certain conditions and will be treated as stock-based compensation.

* McDonald's Corp. agreed to buy Apprente Inc., which specializes in voice-based conversational technology, for an undisclosed sum. Apprente creates voice-based platforms for multilingual, multi-accent and multi-item conversational ordering. The fast-food giant plans to use the neuroscience-based artificial intelligence technology to enhance its drive-thru service and possibly its mobile ordering and kiosks as well.

* Comcast Corp. acquired Dutch app developer Metrological Group BV for an undisclosed sum, Broadband TV News reported. The parties confirmed the deal but have not released official statements, according to the report.

* Boat Rocker Media purchased Platform One Media — the television production and sales business launched in 2017 with backing from Liberty Global PLC and private equity firm TPG Capital Management LP — to expand its scripted television operation, Variety reported. Boat Rocker Media creates, produces and distributes content and brands for various platforms.

* Private equity firm Finrock Growth Partners LLC acquired BP Logix Inc., a business process management software platform, for an undisclosed sum.

* Spotify Technology SA acquired audio production marketplace SoundBetter LLC for an undisclosed sum. Following the deal, SoundBetter will become a part of the Spotify for Artists team as part of the company's goal to help creators develop audio content and connect with their audience.

* Private equity firm KKR & Co. closed its buyout of a majority stake in analytics software company Burning Glass Technologies, formally known as Burning Glass International Inc., for an undisclosed sum. Burning Glass provides real-time labor market data to employers, universities, public agencies, multinational organizations and other clients worldwide.

* Modern Media Acquisition Corp. completed its merger with Akazoo SA, with the two entities combining into a new holding company. The combined entity, which will be called Akazoo SA, expected to commence trading Sept. 11 on the Nasdaq Stock Market under the ticker symbol SONG.

* Liberty Latin America Ltd. completed the acquisition of the remaining 12.5% stake in United Telecommunications Services NV. Liberty Latin America in March acquired 87.5% stake in the telco in an all-cash transaction at a total enterprise value of $189 million.

* DISH Network Corp. completed the acquisition of EchoStar Corp.'s broadcast satellite service division in a tax-free all-stock deal. Pursuant to the deal, each holder of shares of class A or class B common stock of EchoStar who was entitled to receive the consideration in the transaction received 1 share of common stock of EchoStar BSS Corp., for each share of EchoStar class A or class B common stock held by such holder.

* CenturyLink Inc. acquired video delivery technology provider Streamroot Inc. for an undisclosed amount. The acquisition is expected to help improve CenturyLink's ability to deliver over-the-top video content for customers in bandwidth-constrained areas, especially during peak internet traffic hours.

* Private equity fir Tailwind Capital Group LLC acquired Ventiv Technology Inc., which provides integrated risk management software for enterprises and government entities. Financial terms of the transaction were not disclosed.

* An affiliate of Mill Point Capital LLC closed the acquisition of The Pythian Group Inc.'s services division in a corporate carve-out transaction. Financial terms were not disclosed. IT services provider Pythian plans to grow its data and cloud services business as a result of the investment partnership.

* Anthem Sports & Entertainment Corp. purchased a majority interest in HDNet LLC, the parent company of U.S. television networks AXS TV (US) and HDNet Movies (US). Financial details of the transaction were not disclosed. Under the terms of the deal, Anthem Sports will assume the operations of the AXS TV and HDNet channels that cater to music, sports, entertainment and lifestyle audiences. The deal also includes AXS TV's library of owned programming, including wrestling, MMA and entertainment content.
