First Horizon seeks shareholder approval to amend restated charter

First Horizon National Corp. seeks shareholder approval of technical amendments to modernize the company's restated charter.

The proposed amendments include amendments to the article about First Horizon's purposes and powers, and deletion of the article that deals with the commencement of business.

The Memphis-based company's board on Jan. 23 approved and authorized the proposed amendments and directed that the amendments be submitted to a vote of common stockholders at the annual meeting, which will be held April 24.

If shareholders approve the proposed amendments, the company expects to file a certificate of amendment with the Tennessee Secretary of State as soon as practicable following shareholder approval. Upon filing of that certificate, the proposed amendments will become effective.
