Jordan Rosenblatt, on behalf of Infinity Property & Casualty Corp. shareholders, has filed a purported class-action lawsuit against the company, its directors and Kemper Corp. in a bid to stop the pending acquisition of Infinity Property by Kemper.
Rosenblatt alleges that the defendants' joint proxy statement related to the merger agreement contains certain material omissions and false and misleading statements.
Rosenblatt, who filed the lawsuit in the U.S. District Court for the Southern District of Ohio, is seeking attorneys and experts fees, and damages in an unspecified amount.
The defendants believe the claims have no merit, according to a Form 8-K filing.
