Houlihan Lokey says common stock offering by selling shareholders closed

Houlihan Lokey Inc. disclosed the closing of an underwritten public offering of 3 million class A common shares of the company by certain selling shareholders.

The offering consisted of 1,985,983 shares offered by ORIX USA Corp. and 1,014,017 shares offered by management. Net proceeds from the offering to the selling stockholders totaled approximately $147.3 million before expenses. The company did not receive any proceeds from the sale of the shares by the selling stockholders.

Goldman Sachs & Co. LLC served as the sole underwriter for the offering.

Concurrently with the closing of the offering, Houlihan Lokey repurchased from ORIX 697,000 shares of class A common stock held by the latter at a purchase price per share of $49.11.
