Genpact shareholders selling common shares

Genpact Ltd. announced an underwritten public offering of 10 million shares, or approximately 27% of the company's common shares, beneficially owned by certain shareholders.

The shareholders consist of entities affiliated with Bain Capital Investors LLC and its co-investor, GIC Pte. Ltd.

After the offering, the selling shareholders will beneficially own approximately 15% of Genpact's outstanding common shares.

Also, after the offering, the number of directors that the selling shareholders will be entitled to designate for nomination to the company's board will be reduced to one, pursuant to Genpact's shareholder agreement with the selling shareholders.

Genpact is not selling any common shares and will not receive any proceeds from the offering.
