Board moves through Feb. 2

S&P Global Market Intelligence presents an overview of board changes at European financial institutions. The changes are listed by announcement date in reverse chronological order.

Feb. 2

* U.K. insurer Hastings Group Holdings Plc said Malcolm Le May stepped down as nonexecutive director after being in the role since September 2015. The effective date of the resignation is yet to be decided. Le May will become group CEO of Provident Financial Plc.

* Deanna Oppenheimer joined Hargreaves Lansdown Plc's board as director, effective immediately. She will also become nonexecutive chair, effective Feb. 7, replacing Mike Evans, who will retire from the board the same day. The firm also said Chris Barling will stand down as a nonexecutive director and senior independent nonexecutive director, also effective Feb. 7. He will be succeeded by Shirley Garrood.

* Bob Dench will serve as chairman of Co-operative Bank Plc starting March 14, replacing Dennis Holt, who will retire in May. Dench stepped down as chairman of Paragon Banking Group Plc but will continue working for the firm until his new appointment takes effect.

* TSB Banking Group Plc appointed Richard Meddings as chairman, effective immediately, replacing Will Samuel, who stepped down after four years in the role.

Feb. 1

* Luke Savage joined Liverpool Victoria Friendly Society Ltd. as an independent nonexecutive director Feb. 1, having previously served as group CFO of Standard Life Aberdeen Plc.

* Stephen Belgrad was appointed a director at OM Asset Management plc, effective Jan. 30. Meanwhile, John Rogers resigned as a director due to personal reasons and to pursue other endeavors, effective Jan. 31.

* GRENKE AG Chairman and founder Wolfgang Grenke will step down from the company's board of directors, effective Feb. 28. He will be succeeded by Antje Leminsky, effective March 1.

Jan. 31

* Mike Aynsley stepped down as an independent nonexecutive board member at National Bank of Greece SA.

* London Finance & Investment Group P.L.C. said Warwick Marshall will join its board, effective immediately.

* Aktia Pankki Oyj said Dag Wallgren will not stand for re-election as chairman of its board of directors, standing down alongside board members Sten Eklundh and Kjell Hedman. The Finnish bank's shareholders' nomination board will propose that Maria Engström and Johannes Schulman be elected as new members of the board of directors. The board will also propose to reduce the number of board members to seven from eight.

* Danish lender Ringkjøbing Landbobank A/S named Martin Pedersen and Jens Nielsen chairman and deputy chairman, respectively. Pedersen will replace Jens Kjeldsen, who must retire from the board in connection with the bank's Feb. 28 annual general meeting due to the age provision in its articles of association. Both appointments take affect after the AGM closes. The bank also said it would hold an election at a meeting of the committee on April 25 to bring the number of its board members back to nine.

* JSC PASHA Bank Georgia, a unit of Azerbaijan-based PASHA Bank OJSC, named Arda Arkun chairman of its board of directors, effective Feb. 1, replacing Shahin Mammadov. Arkun joined Pasha Bank Georgia's ultimate parent, PASHA Holding LLC, as an adviser in August 2017.

Jan. 30

* The board of directors of Helvetia Holding AG will propose Doris Schurter — currently ad interim chairwoman since December 2017 — as the company's new chairwoman at the ordinary shareholders meeting on April 20. The Swiss insurer will also propose to appoint Beat Fellmann, Thomas Schmuckli and Regula Wallimann as new members of the board at the meeting.

* Leni Boeren will serve as chair of Kempen & Co NV, a unit of Van Lanschot Kempen NV, effective Feb. 5. She previously served as chair and CEO of Robeco Institutional Asset Management B.V. from 2014 to 2016-end.

Jan. 29

* Damon Buffini will become a nonexecutive director at Schroders Plc, effective Feb. 1. Until 2015, he served as senior adviser to Permira Holdings Ltd., having retired as its chairman in 2010.

* Erste Group Bank AG's Croatian unit Erste&Steiermärkische Bank d.d. appointed Nikolai Leo de Arnoldi a supervisory board member until March 1, 2022.

* Ueli Dietiker will become interim chairman of Swiss insurer Sanitas Krankenversicherung, replacing Otto Bitterli, who will become interim CEO.

* Kirsi Salo resigned as chairman of Finnish bank Bonum Pankki Oyj to become interim CEO. The lender's board nominated Pekka Lemettinen to replace Salo as chairman.

* Bjørn Riise stepped down as chair of Eika Boligkreditt AS' board of directors, effective Jan. 29. Tor Egil Lie, previously vice chair, will serve as acting chair until the company's general assembly in mid-April.
