OmniComm Systems, Anju Software complete merger

Anju Software, Inc. has completed its merger with OmniComm Systems Inc.

Fort Lauderdale, Fla.-based OmniComm, which provides software solutions to pharmaceutical and biotechnology companies, became a unit of Anju Software on completion of the agreement.

The transaction closed Sept. 18.

Following the closing, shares of OmniComm were canceled and shareholders have the right to receive 41.032 cents per share, without interest, representing a 58% premium to the closing price on July 15, the day the merger was announced.

Crosstree Capital Securities LLC and Foley & Lardner LLP served as OmniComm's financial and legal advisers, respectively. Madison Park Group LLC served as financial adviser for Anju, while Snell & Wilmer LLP acted as legal adviser.

New York-based Anju is a privately held software company that provides data and application software to life sciences companies, contract research organizations and medical device manufacturers.
