XO Group chairman steps down; Univision sees board changes

S&P Global Market Intelligence presents a rundown of recent board changes in the U.S. technology, media and communications industries.

* Grom Social Enterprises Inc. appointed Robert Stevens and Norman Rosenthal as independent directors of the company. Stevens was appointed as the chairman of the audit committee and as the audit committee financial expert. He also will serve on the compensation and nominating committees. Rosenthal will serve on the compensation and audit committees and will head the company's nominating committee. Stevens is the founder, president and managing director of private capital firm Somerset Capital Ltd. Rosenthal is the founder and CEO of technology consultancy firm Tempest Systems Inc.

* Peter Scarth resigned as a director of Network Media Group Inc., according to a news release.

* National CineMedia Inc. entered into an agreement with Standard General LP to add one new independent director to the company's board. The company plans to appoint Andrew Glaze, an investment professional at Standard General. Paula Williams Madison, a director since 2014, will step down from the board immediately prior to Glaze's appointment.

* XO Group Inc. co-founder David Liu stepped down as chairman of the company's board. Michael Zeisser, lead independent director of XO Group, was elected as the new chairman of the board. Zeisser has served as a director of XO Group since July 2013 and was elected by the independent directors of the company's board in May 2014 to serve as the lead independent director.

* Vincent Sadusky resigned from Hemisphere Media Group Inc.'s board, following his appointment as CEO of Univision Communications Inc. Sadusky also joined Univision Communications' board.

* Fredrick Gluckman, a director at Univision Communications since January, resigned from the company's board. Adam Chesnoff, who was a member of Univision's board from March 2007 until January and currently is president and COO of Saban Capital Group, was nominated by SCG and replaced Gluckman on the board.

* CarGurus Inc., an online automotive marketplace, appointed Steve Conine to the company's board. Conine is the co-founder and co-chairman of home goods website Wayfair.
