Berkshire Hathaway Energy plans $2.2B exchange offer for senior notes

Berkshire Hathaway Energy on March 22 filed a registration statement on Form S-4 in connection with its offer to exchange up to $2.20 billion of certain series of senior notes.

The Berkshire Hathaway Inc. subsidiary plans to exchange up to $450 million of its registered 2.375% notes due 2021 for all outstanding 2.375% notes due 2021, up to $400 million of its registered 2.80% notes due 2023 for all outstanding 2.80% notes due 2023, up to $600 million of its registered 3.25% notes due 2028 for all outstanding 3.25% notes due 2028, and up to $750 million of its registered 3.80% notes due 2048 for all outstanding 3.80% notes due 2048.

The company will not receive any proceeds from the exchange offer.

The Bank of New York Mellon Trust Co. NA is serving as the exchange agent for the offer.
