Oklahoma City-based Bank7 files for IPO

Oklahoma City-based Bank7 Corp filed a Form S-1 for an initial public offering of its common stock.

The proposed maximum aggregate offering price is $75 million, estimated solely to calculate the registration fee. The registration statement did not list the number of shares to be offered by the company and selling shareholders.

The company has applied to list its common stock on the Nasdaq Global Select Market under the ticker BSVN.

In connection with the termination of the company's status as an S Corporation, the company expects to use a portion of the net proceeds from the IPO to fund a cash distribution to its existing shareholders immediately after the closing of the IPO. The remainder of the net proceeds will be held at the company for general corporate purposes.

Keefe Bruyette & Woods Inc., Stephens Inc., and Sandler O'Neill & Partners LP are serving as underwriters in the IPO.
