CBPE Capital invests in corporate services provider Centralis Group

British private equity firm CBPE Capital LLP agreed to invest in Luxembourg-based corporate solutions company Centralis Group SA to support the latter's expansion plans.

Financial terms of the transaction were not disclosed.

Centralis offers outsourced corporate services such as incorporation, corporate secretarial, accounting, management, tax compliance, payroll and HR activities from its Luxembourg headquarters and offices in eight countries.

CBPE plans to work with the management of Centralis to drive its international growth. They aim to pursue organic growth as well as a buy-and-build strategy to widen Centralis' geographical scope and service capabilities.

The transaction is subject to customary closing conditions. CBPE partners Ian Moore and James Whittington are set to join Centralis' board.

CBPE was advised by Reed Smith in legal matters, KPMG for financial and tax items, Oliver Wyman on the commercial side, Duff & Phelps for regulatory and compliance, Intuitus for IT and AJ Gallagher for insurance. Deloitte Luxembourg acted as M&A adviser and Wildgen as legal adviser to Centralis and its shareholders. Allen & Overy Luxembourg acted as legal adviser to Centralis management.
