Nokia completes purchase of US software firm; Apple buys Texture

S&P Global Market Intelligence provides a wrap-up of U.S. companies' media and communications deal announcements and completions from March 12 to March 16.

* Nokia Corp. said March 16 that it completed the acquisition of Seattle-based software company Unium Inc., which specializes in residential Wi-Fi applications and will operate under Nokia's fixed networks group.

* Palo Alto Networks Inc has agreed to acquire Evident.io Inc. for a total purchase price of $300 million The all-cash acquisition is expected to close during Palo Alto Networks' fiscal third quarter. Evident.io's co-founders, Tim Prendergast and Justin Lundy, will join Palo Alto Networks following the completion of transaction. Evident.io is a provider of security and compliance automation for public cloud networks.

* Wipro Ltd. has agreed to divest its hosted data center services business to Ensono for $405 million. Wipro will transfer eight data centers and more than 900 employees of its hosted data center services business to Ensono. Through the acquisition, Ensono will double in size, diversify its client portfolio and increase its annualized revenue to be in excess of $550 million. Subject to closing conditions and regulatory approvals, the deal is expected to close in the quarter ending in June. The two companies also signed a long-term partnership agreement to jointly address the hybrid IT requirements of Wipro's new and existing enterprise customers. As part of the agreement, Wipro will make a strategic investment of $55 million in Ensono's combined entity.

* Enterprise cloud computing services provider Salesforce.com Inc. has agreed to acquire CloudCraze Software LLC. CloudCraze provides business-to-business cross channel e-commerce services on Salesforce's cloud-based customer relationship management platform. It secured $20 million in funding from Insight Venture Partners and Salesforce Ventures in 2017.

* U.K. newspaper publisher and media company Daily Mail and General Trust plc, or DMGT, agreed to sell EDR, its U.S.-based property information business, to two technology-focused private equity firms for $205 million. Silver Lake and Battery Ventures will acquire the business, which provides property due diligence and risk management technology and information. The deal is scheduled to close in the coming weeks, subject to customary conditions. DMGT had announced plans to sell the business in November 2017.

* Apple Inc. signed an agreement to acquire digital magazine service Texture. Texture is a multititle subscription service that provides digital access to various magazines. "We're excited Texture will join Apple, along with an impressive catalog of magazines from many of the world's leading publishers," Eddy Cue, Apple's senior vice president of Internet Software and Services, said in a March 12 statement. Next Issue Media LLC, the startup company behind the Texture app, was formed by Condé Nast, Hearst Corp., Meredith Corp., News Corp., Rogers Communications Inc. and Time Inc. as a joint venture.

* The Antenna Systems division of Communications & Power Industries LLC agreed to buy the limited-motion satellite antenna family from global communications company ViaSat Inc. Under the agreement, ViaSat will transfer a range of limited-motion antennas at sizes, including 6m, 7.3m, 9.1m, 11.3m, 13.5m and 16/18m, plus a 3.9m truck-mounted antenna, all designed for multi-band operation at C, Ku and DBS frequency bands, the company said March 12. These products will be integrated into the CPI ASD satcom product line. CPI ASD will manufacture the large-diameter antenna products at its facilities in Whitby, Ontario. The sale of the limited-motion GEO Satcom antennas will allow ViaSat to exit a noncore business in antenna manufacturing to focus on its Ka-band services business and related technologies. Also, CPI will serve as a source for ViaSat in the fulfillment of satellite ground system orders.
