I3 Verticals files mixed shelf

I3 Verticals Inc. filed a shelf registration statement for up to $250 million of securities that it may offer from time to time and for a secondary offering of up to 13,145,534 class A common shares by selling securityholders.

Including the secondary offering, the filing covers class A common shares, preferred shares, warrants, rights and units. The proposed maximum aggregate offering price is $349.5 million, estimated solely to calculate the registration fee.

I3 Verticals intends to use net proceeds for general corporate purposes, which include repaying debt, making acquisitions, capital expenditures and working capital. The company will not receive any proceeds from the sale of class A common shares by the selling securityholders.
