Italy's FSI boosts stake in Kedrion for €100M

Sestant Internazionale SPA and Sestant SpA agreed to sell a minority stake in Kedrion SpA to private equity firm FSI SGR SpA for €100 million.

Under the agreement, FSI will acquire a 19.59% stake in the biopharmaceutical company from Sestant Internazionale. FSI will also subscribe to a capital increase of €50 million, and FSI Investimenti will maintain the 25.06% stake it has owned since 2012 by means of an additional pro quota capital increase of €16.7 million.

This means Sestant Internazionale and Sestant will continue to jointly hold a stake of over 54% in Kedrion.

The deal is subject to approval from competent antitrust authorities.

Lazard was the financial adviser and Carnelutti Law Firm was the legal adviser to Kedrion, while Rothschild was the financial adviser and Studio Gattai Minoli Agostinelli & Partners was the legal adviser to FSI.
