Southern Missouri Bancorp closes acquisition of Southern Missouri Bancshares

Poplar Bluff, Mo.-based Southern Missouri Bancorp Inc. completed its acquisition of Marshfield, Mo.-based Southern Missouri Bancshares Inc. and unit Southern Missouri Bank of Marshfield.

Southern Missouri Bancorp is the holding company of Southern Bank.

The acquisition has resulted in each share of Southern Missouri Bancshares held immediately prior to closing being exchanged for $98.05, plus 9.2498 Southern Missouri Bancorp shares.

The deal is expected to be nominally accretive to EPS beginning in 2019.

Tangible book value per common share is expected to be diluted by a nominal amount at closing, with a projected earnback period of about a year, using the crossover method.

Southern Bank had $1.77 billion in assets as of Dec. 31, 2017. Southern Missouri Bank of Marshfield had assets of $86.6 million as of Dec. 31, 2017.

On a pro forma basis, the combined entity will have assets of about $1.9 billion, including net loans of $1.5 billion and deposits of $1.6 billion.
