Annaly Capital Management to offer common shares

Annaly Capital Management Inc. plans to make a public offering of 75 million common shares.

The company intends to grant the underwriters a 30-day option to purchase up to an additional 11,250,000 common shares.

Annaly Capital expects to use the net proceeds from the offering to acquire targeted assets in line with the company's capital allocation policy, which may include further diversification of its investments in agency, residential, commercial and corporate credit assets.

Credit Suisse, BofA Merrill Lynch, Goldman Sachs & Co. LLC, J.P. Morgan, Wells Fargo Securities, Barclays and RBC Capital Markets are acting as joint book-running managers for the offering.
