Organic Flower Investments to take over Delta Organic Cannabis

Cannabis-focused investor Organic Flower Investments Group Inc. agreed to buy all the remaining shares it does not already own in Delta Organic Cannabis Corp., formally known as 1180782 BC Ltd.

As part of the transaction, Organic Flower will issue a total of 54,687,500 units. Each unit will comprise one Organic Flower common share and one share purchase warrant, exercisable for one common share of Organic Flower at a price of 65 Canadian cents until Dec. 5, 2020.

Delta will become a wholly owned subsidiary of Organic Flower, which currently holds an approximately 27% stake in the cannabis company. Delta's sole asset is an equity participation and earn-in agreement whereby it bought common shares of AgraFlora Organics International Inc.

The deal is subject to shareholder and regulatory approvals, among other conditions.
