Cielo launches tender offer for 2022 senior notes

Brazilian payment processor Cielo SA has launched a tender offer to purchase its outstanding 3.750% senior notes due 2022.

The company noted that the repurchase offer is contingent upon its efforts to gain consent for certain provision changes related to the debt.

The early tender deadline for the offer will expire at 5 p.m. ET on June 6. The consent solicitation and the offer will expire at 11:59 p.m. ET on June 20.

Holders who validly tender their notes units after the early tender deadline but at or before the consent and offer deadline will be eligible to receive $980.00 per $1,000 in aggregate principal amount of the notes. Similarly, holders who validly tender their notes units at or before the early tender deadline also will be eligible to receive an early tender premium of $30.00 per $1,000 in aggregate principal amount of the notes.

BB Securities Ltd., Banco Bradesco BBI SA and J.P. Morgan Securities LLC are the dealer managers for the tender offer, while D.F. King & Co. Inc. has been appointed information agent and tender agent.
