Tony Scavuzzo and James Deutsch were appointed to the board of Trinity Capital Corp. on Jan. 25, effective immediately.
Scavuzzo will serve as the director representative for Castle Creek Capital Partners VI LP, and Deutsch will serve as the director representative for Patriot Financial Partners II LP and Patriot Financial Partners Parallel II LP pursuant to the stock purchase agreement, dated Sept. 8, 2016.
The agreement provides that each of Castle Creek and Patriot is entitled to have one representative appointed to Trinity Capital's board for so long as it, together with its respective affiliates, owns, in the aggregate, 5% or more of Trinity Capital's outstanding common shares.
Scavuzzo and Deutsch were also appointed to the board of Trinity Capital unit Los Alamos National Bank, effective Jan. 30.
A principal at Castle Creek, Scavuzzo will serve as a class I director, who will stand for re-election at Trinity Capital's 2019 annual meeting of stockholders.
Deutsch, a partner at Patriot Financial Partners LP, will serve as a class III director, who will stand for re-election at Trinity Capital's 2018 annual meeting.
In a Form 8-K, Trinity Capital also disclosed that its shareholders at their annual meeting held Jan. 25 approved an amendment to its articles of incorporation to authorize a class of non-voting common stock. There were 6,138,774 votes in favor of the proposal, and 544,251 votes against. There were 52,289 abstentions.
