Shiseido's US units carry out absorption-type merger

Shiseido Co. Ltd. said Jan. 9 that its U.S. subsidiaries Shiseido Americas Corp., Bare Escentuals Inc. and Bare Escentuals Beauty Inc. executed an absorption-type merger, effective Jan. 1.

Under the agreement, Bare Escentuals and Bare Escentuals Beauty were incorporated into Shiseido Americas, the Japanese cosmetic company's regional headquarters in the region.

Shiseido acquired Bare Escentuals and Bare Escentuals Beauty, which develops the BareMinerals brand, in March 2010.

The group expects the move to help it use management resources more effectively and strengthen its brand marketing initiatives.

Shiseido said the impact of the transaction on the group's performance will not be material since the subsidiaries are directly and indirectly owned by the company.
