Windstream units increases amount of notes to be accepted in tender offer

WindstreamHoldings Inc. unit Windstream Services LLC increased the maximumaggregate principal amount of notes it may purchase in the previously announcedcash tender offer forthe 7.875% senior notes due in 2017, issued by Windstream and WindstreamFinance Corp., to about $441.1 million from $350 million.

As of 5 p.m. ET on March 28, about $441.1 million aggregate principalamount of notes had been validly tendered and not validly withdrawn in thetender offer, the company said March 29. Windstream Services will accept forpayment on March 29 all notes validly tendered and not validly withdrawn priorto the early tender deadline, subject to satisfaction of the conditions of thetender offer. No additional notes will be accepted for tender in the tenderoffer.

The settlement for the notes validly tendered and notwithdrawn on or before the early tender deadline and accepted for purchase byWindstream is expected to take place on March 29. Holders whose notes areaccepted for purchase will receive the total consideration of $1,082.50 per$1,000 principal amount of the notes, plus accrued and unpaid interest to, butexcluding, the purchase date. The tender offer will expire at 11:59 p.m. ET onApril 11, unless extended.

Windstream expects to fund the purchase of the notestendered from the proceeds of an incremental term loan under its existingsenior secured credit facility.

Windstream has engaged J.P. Morgan Securities LLC as dealermanager for the tender offer.
