Viacom, CBS set board members for combined company; comScore director resigns

S&P Global Market Intelligence presents a rundown of recent board changes in the U.S. technology, media and telecommunications industries.

* Robert Victor, senior vice president of product management at Comcast Corp.'s Comcast Business, joined the Metro Ethernet Forum board. The MEF board includes technology executives committed to adopting MEF 3.0 services across a federation of automated networks, according to an Aug. 28 news release. Comcast Business offers ethernet, internet, Wi-Fi, voice, television and managed enterprise services to organizations.

* Semiconductors company Skyworks Solutions Inc. appointed Alan Batey to its board. Batey was most recently executive vice president and president for North America with General Motors Co., as well as the global brand chief for Chevrolet.

* The new ViacomCBS board will have a number of familiar faces, with six former CBS Corp. directors — Candace Beinecke, Barbara Byrne, Brian Goldner, Linda Griego, Susan Schuman and Frederick Terrell. There will be four former Viacom Inc. directors — Judith McHale, Ronald Nelson, Charles E. Phillips Jr. and Nicole Seligman. Shari Redstone, the head of National Amusements Inc., which has voting control over both companies, and lawyer Robert Klieger will represent the interests of NAI on the board. Bob Bakish, Viacom's president and CEO, will lead the combined company as CEO and also become a board member. CBS and Viacom agreed to combine on Aug. 13 in an all-stock merger. The deal is expected to close before year-end.

* Paul Reilly resigned as a member of comScore Inc.'s board after raising concerns regarding the company's operating strategy. In a letter to the company's nonexecutive chairman, Brent Rosenthal, Reilly said he does not believe comScore's operating strategy is progressing fast enough, specifically in regards to innovation and product development. Reilly was the chair of the board's audit committee and a member of the board's compensation committee, according to a Form 8-K filed Aug. 14.

* Former Palo Alto Networks Inc. Chairman and CEO Mark McLaughlin took over as chairman of QUALCOMM Inc., effective Aug. 13. McLaughlin replaces Jeffrey Henderson, who will stay on the board and lead its audit committee. Henderson was appointed board chairman in March 2018 while Qualcomm was fending off a failed takeover by Broadcom Inc.
