and its controllingshareholder, Dundee Precious MetalsInc., on April 8 announced the completion of a plan of under which Dundee, through awholly owned subsidiary, acquired all Avala shares that it does not already own.
Accordingto the agreement, Avala shareholders will receive 0.044 of a common share of Dundeefor each Avala share owned. Prior to the arrangement, Dundee owned about 50.1% ofAvala's shares.
The companiessaid the acquisition is part of an amalgamation of Avala and the Dundee subsidiary.The transaction will result in the issuance of up to 985,040 Dundee common sharesto Avala shareholders.
Followingthe completion of the transaction, Avala's common shares will no longer be listedon the TSX Venture Exchange. Avala intends to apply to the relevant securities regulatoryauthorities to cease to be a reporting issuer in each jurisdiction of Canada inwhich it currently has reporting obligations.
