FleetCor Technologies shareholders vote to declassify board

A shareholder proposal to declassify the FleetCor Technologies Inc. board was approved at the annual meeting of shareholders on June 6.

A total of 65,986,352 shares voted for the proposal while 8,672,054 voted against it.

Shareholders also voted to eliminate the supermajority voting provisions in the charter, with 74,640,129 shares for it to 34,171 shares against it. They thumbed down a proposal on executive compensation, with 63,960,550 shares against it to 10,700,691 for it.
