NiSource declares results for tender offer

NiSource Inc. has declared the final results of the cash tender offer made by NiSource Finance Corp. for its 6.125% notes due 2022.

NiSource Finance bought the maximum amount of the other three series of its offering during the early settlement date on May 26: $200.9 million of the 2018 notes, $244.9 million of the 2019 notes and $224.9 million of the 2020 notes. As such, notes tendered after the early deadline were not accepted for purchase.

For the 2022 notes, $319.3 million were tendered during the early tender deadline. As of 11:59 p.m. ET on June 8, an additional $738,000 of the 2022 notes were tendered, bringing the total purchased amount to $320.0 million. Holders of the 2022 notes accepted for purchase will be paid $1,139.25 per $1,000 principal amount, excluding $30 early tender premium, plus accrued and unpaid interest.

J.P. Morgan Securities LLC, Barclays Capital Inc., Credit Suisse Securities (USA) LLC and MUFG Securities Americas Inc. acted as deal managers for the offers while D.F. King & Co. Inc. served as the tender agent.
