Aircastle Ltd. has filed an automatic shelf registration statement related to the sale of certain securities from time to time.

The securities include common shares, preference shares, depositary shares representing preference shares, debt securities, warrants, subscription rights, purchase contracts and purchase units.

The company plans to use the net proceeds for working capital and other general corporate purposes, which may include the repayment or refinancing of outstanding debts and the financing of future acquisitions. The net proceeds may be invested temporarily in interest-bearing accounts and short-term interest-bearing securities until they are used for their stated purpose.
