Genpact unit completes private notes offering

Genpact Ltd. subsidiary Genpact Luxembourg S.à.r.l has completed a private offering of $350 million aggregate principal amount of 3.700% senior notes due April 1, 2022.

The notes were issued pursuant to an indenture between Genpact Luxembourg, Genpact, and Wells Fargo Bank NA as trustee.

Interest on the notes accrues at 3.700% per annum and is payable semiannually on April 1 and Oct. 1 each year, beginning Oct. 1.

Genpact plans to use the net proceeds from the offering to repay outstanding loans under its revolving credit facility and for general corporate purposes, which may include acquisitions and share repurchases.

Genpact Luxembourg may redeem some or all of the notes at a redemption price equal to 100% of the principal amount, plus accrued and unpaid interest to but not including the redemption date, plus a make-whole premium if applicable. The notes are Genpact Luxembourg's senior unsecured debts with Genpact guaranteeing the notes on a senior unsecured basis.
