Tradeweb Markets selling common stock

Tradeweb Markets Inc. launched an underwritten offering of 14.8 million shares of its class A common stock.

The underwriters have a 30-day option to purchase up to a maximum of 2,220,000 additional shares of class A common stock, according to a Form S-1.

The proposed maximum aggregate offering price is about $690.7 million, or $40.58 per share, estimated solely for the purpose of calculating the registration fee and including the underwriters' option.

Tradeweb intends to use the net proceeds to purchase equity interests from certain existing owners.

J.P. Morgan Securities LLC, Barclays Capital Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are representatives on behalf of the underwriters.

Refinitiv will continue to own a controlling interest in Tradeweb following the offering.
